1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the websites, platforms, applications, software tools, and consulting services (collectively, the "Services") provided by Pivara Technologies ("Pivara," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Pivara Technologies provides:

  • Software Platforms: cloud-based and self-hosted platforms for industrial automation, infrastructure monitoring, thermal analysis, and data analytics.
  • AI-Powered Analytics: automated analysis tools including, but not limited to, thermal image inspection, audio call analysis and scoring, predictive maintenance, and performance optimization.
  • Consulting Services: technology consulting, software development, system integration, and advisory services as defined in individual service agreements.
  • Software Tools: APIs, developer tools, and utilities provided as part of or alongside our platforms.

3. Account Registration

Certain Services require account registration. You agree to provide accurate and complete information, maintain the security of your credentials, and promptly update any changes. You are responsible for all activities under your account. Notify us immediately at tech@pivaratech.com if you suspect unauthorized access.

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
  • Upload, transmit, or process any content that is harmful, threatening, abusive, defamatory, or otherwise objectionable.
  • Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Reverse-engineer, decompile, or disassemble any aspect of the Services except as permitted by law.
  • Use the Services to build a competing product or service.
  • Resell, sublicense, or redistribute the Services without our written consent.
  • Use AI-generated outputs from our Services to misrepresent automated analysis as human expert opinion without disclosure.

5. User Content

You retain ownership of all data, files, images, recordings, and other materials you upload to or process through our Services ("User Content"). By using the Services, you grant us a limited, non-exclusive license to process, analyze, and store your User Content solely to provide the requested Services.

You represent that you have the necessary rights to upload and process all User Content, including any personal data, audio recordings, or other materials of third parties.

6. AI-Powered Services

Our AI-powered analytics and scoring services are provided as decision-support tools. Outputs are generated through automated processes and should be reviewed by qualified personnel before being relied upon for critical decisions.

We do not guarantee the accuracy, completeness, or suitability of AI-generated outputs for any particular purpose. You acknowledge that AI analysis may contain errors and should be used as one factor among others in your decision-making process.

7. Consulting Services

Consulting engagements are governed by individual service agreements or statements of work that supplement these Terms. In the event of a conflict, the service agreement takes precedence for that engagement.

Deliverables from consulting engagements are provided "as-is" unless otherwise specified in the service agreement. Intellectual property rights in custom deliverables will be assigned as specified in the applicable service agreement.

8. Fees and Payment

Certain Services require payment of fees. Fees, billing cycles, and payment terms are specified in the applicable subscription plan or service agreement. All fees are non-refundable unless otherwise stated or required by law. We reserve the right to modify pricing with reasonable notice.

9. Intellectual Property

All rights, title, and interest in the Services, including software, algorithms, designs, documentation, and trademarks, are and remain the exclusive property of Pivara Technologies. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described herein.

10. Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of these Terms.

11. Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for temporary unavailability due to maintenance, updates, or circumstances beyond our control.

12. Limitation of Liability

To the maximum extent permitted by law, Pivara Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities arising from your use of the Services.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid for the Services during the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Pivara Technologies, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

14. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access to the Services immediately if you violate these Terms. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive termination shall remain in effect, including intellectual property, limitation of liability, and indemnification.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in India.

16. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms with a revised "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.
